In their first combined SEC filing since Dish acquired EchoStar in late 2023EchoStar and Dish Network Dish then had an option to purchase 13.5MHz of low-band 800MHz spectrum from T-Mobile for $3.59 billion. At one point, Dish had to plead with T-Mobile for extension after extension due to the dire state of their finances. Finally, T-Mobile was able to obtain the unused airwaves when Dish failed to buy the spectrum and allowed the option to expire.
EchoStar soon disclosed that it might not be a going concern. In its most recent SEC filing, the firm said it does not have sufficient cash, cash futures, or financing to meet its obligations over the next year. It also raises big question marks about EchoStar’s viability without a reorganization or new capital. The company is in search of capital and looks at a restructuring of the $3.4 billion in debt maturing in the following year.
EchoStar recently avoided bankruptcy thanks to a July 30 interest payment, but has suspended its 5G network rollout since then due to ongoing spectrum rights disputes. The FCC is also pressuring SpaceX to unload its AWS-4 (2GHz) spectrum, which the company aims to use to establish direct satellite-to-smartphone connectivity with new Starlinks. SpaceX alleges that EchoStar has been “warehousing” the spectrum, and is seeking either reallocation or auction of the spectrum.
EchoStar is under financial duress but building a $5 billion direct-to-device (D2D) low-Earth orbit (LEO) satellite service out of its global S-band/2GHz rights Launching in 2029, the service will offer worldwide talk, text and broadband coverage for 5G devices (to be sold by wholesale partners).
Industry analysts remain skeptical. According to MoffettNathanson´s Craig Moffett,
the company is still headed for liquidation, either in or out of bankruptcy. The only question is when.
A pleasant surprise comes from Boost Mobile
In the midst of all, Boost Mobile has turned out to be a witness of hope for EchoStar. Boost was floundering after its sale to Dish, but has recorded three consecutive quarters of net subscriber increases.
Boost Mobile tacked on 212,000 net subscribers in Q2 2025, topping analyst estimates of 88,000 and the massive rebound from a loss of 16,000 subscribers in Q2 2024. Churn also dropped 24 basis points year-over-year in wireless, indicating stronger retention.
The fact that it is doing so well seems to indicate that Boost Mobile is reclaiming its place in the industry as the nation’s fourth-largest carrier, which is an incredible turnaround after years of shrinking subscriber base.
